Special Terms and Conditions applicable to Fine Wine Trading / Broking

These special conditions supplement the basic terms and conditions and, where applicable, supersede them, for the provision of broking and trading services.

Brunswick Fine Wines & Spirits Ltd (Brunswick FW&S) will seek third-party purchasers for your wine. You may either offer wines for sale online using our online service at www.brunswickfinewines.com or by contacting one of our trading team at wine@brunswickfinewines.com, in which case all instructions must still be made and then confirmed in writing.

By agreeing to these broking terms and conditions, you are authorising and granting Brunswick FW&S a six (6) month exclusivity period to offer the wine for general sale. If the wine fails to sell within the six (6) month period, we reserve the right to withdraw the wines from sale, and will notify you accordingly.

1. Ownership and Transfer of Title

Brunswick FW&S will act as your agent in the sale of any wine. Wines will be held, pending sale, in the Customer’s name, uniquely identified, within our warehouse.

Upon the completion of the sale, and receipt of cleared funds by Brunswick FW&S, title in the wines will be transferred to the purchaser.

If the Customer decides to withdraw the wines from sale, and notifies Brunswick FW&S in writing, they will be returned to the Customer, or transferred to another account at our warehouse according to the Customer’s instructions.

If the purchaser of wine(s) defaults on payment or cancels the purchase, Brunswick FW&S will not be liable for any loss or damage suffered by the Customer. The Products will revert to the Customer’s ownership. Brunswick FW&S will notify you by email in the case of cancelled sales.

When providing broking and trading services under this agreement, Brunswick FW&S acts at all times as the agent for (and never as principal on behalf of) the Customer. As such, the Customer warrants the provenance and condition of the Product as displayed by Brunswick FW&S and accepts all risks in and thereto. The Customer agrees to indemnify and hold harmless Brunswick FW&S and its directors, officers, agents, employees and representatives against any and all claims, demands, penalties, losses, liability or damage, including, without limitation, reasonable attorneys’ fees and expenses asserted against, resulting from, or related to the provenance, condition or quality of the Product sold by the Customer through the broking and trading services.

For clarity: if a Product is corked or otherwise faulty, Brunswick FW&S will not be responsible. Any refund payable to a purchaser by Brunswick FW&S in such a case will be recoverable from the Customer upon demand.

Broking wines sold through the Brunswick FW&S facility are deemed to constitute a completed sale unless they are found to be in a condition other than as represented at the time of sale and in accordance with our requirements for the condition of wines.

Wines offered for trade or purchase must be free of any lien or encumbrance, must not currently be offered for sale by any third party, and must have been paid for in full.

Wines must also be free from any associated storage charges owed either to Brunswick FW&S or any third party.

Until ownership rights are transferred, the Customer will remain responsible for all storage and administrative charges incurred in respect of the relevant wine(s).

 2. Eligibility to Sell Wines

Wines accepted for sale by Brunswick FW&S must have impeccable provenance and have been stored in optimum conditions. Brunswick FW&S may refuse to sell wines which, in the opinion of Brunswick FW&S or its agents, do not meet these requirements.

To sell wines you must be an existing Customer who has either placed an order for wines with Brunswick FW&S or has wine stored with us.

Wines offered for sale must have been stored by Brunswick FW&S at our warehouse, or another accredited bonded warehouse, permanently since landing in the UK.

Brunswick FW&S may agree to trade duty paid wines, subject to these terms and our general terms and conditions.

 3. Pricing and Payment

Brunswick FW&S will provide a price range based on the current market. This valuation will be used to suggest a selling price; however, the final offer price must be agreed with by both parties.

Brunswick FW&S may list the same wine for sale at different prices, in accordance with different Customers’ instructions. If the same wine is listed at an identical price by two or more Customers, we will use our best endeavours to sell the wine that was listed first.

Following the sale of your wine, payment will be made to the Customer after receipt of payment in full by Brunswick FW&S from the purchaser and deduction of our fee.

Unless otherwise agreed in writing, payment to the Customer will be made 30 days of the purchase date. Where alternative payment terms are agreed, those terms will prevail.

 4. Condition of Wines

All wines either purchased or offered for sale by Brunswick FW&S are deemed to be in a saleable condition. Should a wine be found to be in poor condition in the opinion of Brunswick FW&S or its agents (and its condition cannot be attributed to its storage by Brunswick FW&S), the transaction may be considered null and void at any point up until transfer of funds.

Brunswick FW&S reserves the right to refuse to trade wines that are too old to be consumed/past their best. Alternative trading arrangements may be recommended.

If a condition report is required to facilitate a sale, the Customer will be contacted and asked to cover all associated charges, unless otherwise confirmed in writing by Brunswick FW&S.

 5. Condition Reports

Condition reports are mandatory for any duty paid wines offered for sale, and for wines over certain age or price thresholds as determined by Brunswick FW&S, other than wines purchased duty paid from us and stored continuously at our warehouse since shipment to the UK.

Reports involve retrieving the case(s) from storage, opening them in the studio, and photographing the case, labels, closures and neck levels. Reports assist Brunswick FW&S in proving condition to potential purchasers.

Condition reports are normally produced within 7 working days of request.

Charges for condition reports are non-refundable and will be charged immediately to the Customer’s account.

Reports include one high-resolution photo of the case and bottles (including labels) along with a brief description.

Reports remain associated with the wine(s) and will be available to subsequent owners if the wine(s) remain in the custody of Brunswick FW&S.

For wines offered for sale via our sales channels, the report will be made publicly available at www.brunswickfinewines.com.

Reports are prepared carefully by our warehouse partners and whilst every care is taken to ensure the cases are resealed to their original condition, Brunswick FW&S cannot be held accountable should this not be possible due to unexpected faults or deterioration in the packaging.

Condition reports do not guarantee freedom from non-visible faults (e.g. cork taint), nor do they guarantee provenance or quality.

Over time, the contents of a case may deteriorate naturally. Accordingly:

  • Brunswick FW&S does not accept liability for deterioration in condition (liquid, labels, corks or capsules).
  • Brunswick FW&S will not accept liability for missing capsules, corks or labels upon receipt checking.
  • Reports represent the wine’s current condition but do not guarantee its future condition.
